⚠️ By using NinoPOS, you agree to these Terms of Service. Please read them carefully before creating an account.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of NinoPOS, a cloud-based invoicing, point-of-sale, and business management platform operated by NinoPOS Inc. ("Company," "we," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

  • You must provide accurate, current, and complete information during registration
  • You must be at least 18 years old to create an account
  • You are responsible for maintaining the security of your login credentials
  • You must notify us immediately of any unauthorized use of your account
  • Each business entity should have one primary account with multiple user seats as needed
  • We offer a 30-day free trial for new accounts. After the trial, a paid subscription is required to continue using the Service

3. Subscription Plans & Pricing

3.1 Plans

NinoPOS offers the following subscription plans:

3.2 Billing

  • Subscriptions are billed monthly in Tanzanian Shillings (TZS)
  • Payment is processed via Flutterwave or other supported payment methods
  • Your subscription renews automatically at the end of each billing period
  • You may cancel at any time; cancellation takes effect at the end of the current billing period
  • We reserve the right to adjust pricing with 30 days' advance notice

3.3 Refund Policy

We offer a full refund within 7 days of your first paid subscription if you are not satisfied with the Service. After the 7-day period, subscriptions are non-refundable. To request a refund, contact support@ninopos.com.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or to violate any laws
  • Submit false, misleading, or fraudulent invoices or financial documents
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service's infrastructure
  • Use automated tools to scrape or extract data from the platform
  • Resell or redistribute access to the Service without written permission
  • Upload malicious code, viruses, or harmful content
  • Use the Service to send spam or unsolicited communications

5. Intellectual Property

  • Your Content: You retain full ownership of all business data, invoices, customer information, and other content you create using the Service
  • Our Platform: The NinoPOS software, design, logos, trademarks, and underlying code are the intellectual property of Primezone Solutions
  • License: We grant you a limited, non-exclusive, non-transferable license to use the Service during your active subscription
  • Feedback: Any feedback or suggestions you provide may be used by us without obligation or compensation

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

7. Service Availability

  • We strive to provide 99.9% uptime for the Service
  • Scheduled maintenance will be communicated at least 48 hours in advance
  • We are not liable for downtime caused by factors beyond our control (force majeure, internet outages, etc.)
  • We perform daily automated backups of your data

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
  • We are not responsible for any loss of revenue, data, or business opportunities resulting from your use of the Service

9. Termination

  • By You: You may terminate your account at any time through account settings or by contacting support
  • By Us: We may suspend or terminate your account for violation of these Terms, with notice where practicable
  • For Inactivity: Accounts inactive for 12+ months may be suspended after 30 days' email notice
  • Upon Termination: You may export your data within 30 days. After 30 days, data may be permanently deleted

10. Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in accordance with applicable commercial arbitration rules. These Terms are governed by applicable local laws and regulations.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
