By accessing or using NinoPOS (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service. These Terms constitute a legally binding agreement between you and NinoPOS Inc. (“Company”, “we”, “us”, or “our”).
NinoPOS is a cloud-based business management platform that provides invoicing, inventory management, point-of-sale, and related business tools. The Service is provided “as is” and is subject to change without notice.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for:
You may not use as a username the name of another person or entity or that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.
You shall provide us with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information.
The Service is billed on a subscription basis (“Subscription”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.
Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it. You may cancel your Subscription either through your online account management page or by contacting our customer support team.
Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.
We may, at our sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for the Free Trial. If you do not cancel before the Free Trial ends, you will be automatically charged the applicable Subscription fees.
You agree not to use the Service:
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of NinoPOS Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of NinoPOS Inc.
You retain any and all rights to any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for the purpose of providing and improving the Service.
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in our Privacy Policy. We implement industry-standard security measures to protect your data but cannot guarantee absolute security.
In no event shall NinoPOS Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
